YeagerAI offers a commercial platform that combines both open-source and proprietary components, including a deployment engine and a marketplace. The platform is designed to provide a seamless experience for users to develop, deploy, and manage AI projects. YeagerAI's open-source development framework is licensed under AGPL3, allowing the community to contribute to its development and improvement. The platform offers two output license types: MIT for the lite version with public outputs and a non-public license for the pro version outputs.

Please note that during the beta phase, users may experience occasional service disruptions, incomplete features, or unexpected behavior. Your feedback is invaluable to us as we work towards refining and enhancing our platform.

Changes to Terms & Conditions

YeagerAI reserves the right to modify, update, or amend these Terms at any time, and for any reason, without prior notice to you. We will notify you of any changes by posting the updated Terms on our website or through our products or services. It is your responsibility to review these Terms periodically for any updates or changes. Your continued access to or use of our products or services after any changes to the Terms have been posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of our products or services.

Privacy and Data Usage

By using our products or services, you agree to the collection, use, and sharing of your information as described in our Privacy Policy, which is incorporated into these Terms by reference. YeagerAI may use the data generated by your use of our products or services to improve the performance, functionality, and user experience of our products or services. User Accounts and Registration

To access certain features of our products or services, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. YeagerAI reserves the right to suspend or terminate your account for any reason, including but not limited to, a violation of these Terms or for inactivity.

License and Restrictions

Subject to your compliance with these Terms, YeagerAI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our products or services for your personal or internal business purposes. Some parts of YeagerAI's products or services may be provided under open-source licenses, and you agree to abide by the terms of those licenses when using such components. You may not use our products or services for any illegal or unauthorized purpose, and you agree to comply with all applicable laws, rules, and regulations in your use of our products or services. You may not reproduce, redistribute, or resell our products or services, reverse engineer, decompile, or disassemble any part of our products or services not provided under an open-source license, or otherwise attempt to derive the source code of our products or services, except as permitted under the terms of the applicable open-source license.

Intellectual Property

All intellectual property rights in and to our products or services, including but not limited to software, content, trademarks, logos, and designs, are owned by YeagerAI or our licensors. Except as expressly provided in these Terms, nothing in these Terms shall be construed as granting you any rights, title, or interest in or to any intellectual property of YeagerAI or our licensors. You agree not to engage in any activity that infringes or misappropriates the intellectual property rights of YeagerAI or our licensors.

User-Generated Content and Data Ownership

(a) Your Content. You may provide input to YeagerAI's products or services ("Input") and receive output generated and returned by our products or services based on the Input ("Output"). Input and Output are collectively referred to as "Content." As between the parties and to the extent permitted by applicable law, you own all Input. Subject to your compliance with these Terms, YeagerAI hereby assigns to you all its right, title, and interest in and to Output. This means you can use Content for any purpose, including commercial purposes such as sale or publication, if you comply with these Terms. YeagerAI may use Content to provide and maintain our products or services, comply with applicable law, and enforce our policies. You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms.

(b) Use of Content to Improve Products or Services. We use Content to develop or improve our products or services. If you do not want your Content used to improve our products or services, you can opt out by contacting our support team. Please note that opting out may limit the ability of our products or services to better address your specific use case and may reduce your access to certain features.

(c) Output Quality and Reliability. Artificial intelligence and machine learning are rapidly evolving fields of study, and we are constantly working to improve our products or services to make them more accurate, reliable, safe, and beneficial. However, given the probabilistic nature of machine learning, the use of our products or services may sometimes result in incorrect Output that does not accurately reflect real people, places, or facts. You should evaluate the quality and reliability of any Output as appropriate for your use case, including by using human review of the Output when necessary.

(a) Your Content. You may provide input to YeagerAI's products or services ("Input") and receive output generated and returned by our products or services based on the Input ("Output"). Artificial intelligence and machine learning are rapidly evolving fields of study, and we are constantly working to improve our products or services to make them more accurate, reliable, safe, and beneficial. Free Version and Public Repository

If you use the free version of our products or services, you acknowledge and agree that the output generated by yWorkflows and other YeagerAI products will be published on a public repository with an MIT license. By using the free version, you agree to release your generated content under the MIT license, allowing others to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the generated content, subject to the terms of the MIT license. You understand that by using the free version, you are waiving certain rights and protections with respect to your generated content, and you accept the risk that others may use or modify your content without compensation or attribution.

Third-Party Technologies

YeagerAI's products and services may utilize third-party technologies, software, or services. You acknowledge and agree that your use of such third-party technologies is subject to the terms, conditions, and policies of the respective third-party providers. YeagerAI is not responsible for the performance, functionality, or availability of third-party technologies and does not provide any warranties or support for them.

Prohibited Uses and User Conduct

By using our products or services, you agree not to engage in any activities that:

Violate any applicable laws, rules, or regulations, including but not limited to intellectual property, privacy, and data protection laws.
Infringe on the rights of any third party, including but not limited to copyright, trademark, privacy, or other proprietary rights.
Involve the transmission of any unsolicited or unauthorized advertising, promotional materials, or other forms of solicitation.
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Interfere with or disrupt the proper functioning of our products or services, or impose an unreasonable burden on our infrastructure.
Introduce any viruses, worms, malware, or other harmful code into our products or services.
Use our products or services to harass, threaten, or harm any other person or entity.
Engage in any fraudulent or deceptive practices, including but not limited to using our products or services to defraud others.

By using our products or services, you agree not to engage in any activities that:

Permitted and Prohibited Uses of AI Experts

When using the AI expert teams or other components of our platform, you agree to:

Use the AI expert teams and components for lawful purposes and in compliance with all applicable laws, rules, and regulations.
Respect the intellectual property rights of others when creating, sharing, or using AI expert teams or components.
Seek permission from the relevant rights holders when using copyrighted material or other proprietary content.

You agree not to use the AI expert teams or components to:

Generate or disseminate any content that is unlawful, harmful, abusive, offensive, or otherwise objectionable.
Engage in any activities that may result in harm to individuals or entities, or encourage others to engage in such activities.
Manipulate, interfere with, or exploit any aspect of the AI expert teams or components for illegal or unauthorized purposes.

When using the AI expert teams or other components of our platform, you agree to:

Use the AI expert teams and components for lawful purposes and in compliance with all applicable laws, rules, and regulations.
Respect the intellectual property rights of others when creating, sharing, or using AI expert teams or components.
Seek permission from the relevant rights holders when using copyrighted material or other proprietary content.

You agree not to use the AI expert teams or components to:

Generate or disseminate any content that is unlawful, harmful, abusive, offensive, or otherwise objectionable.
Engage in any activities that may result in harm to individuals or entities, or encourage others to engage in such activities.
Manipulate, interfere with, or exploit any aspect of the AI expert teams or components for illegal or unauthorized purposes.

Export Control

In this section, we will address any restrictions on the use or distribution of YeagerAI's products or services to certain countries or individuals. The user acknowledges and agrees that the products and services provided by YeagerAI are subject to the export control laws and regulations of the United States and other applicable jurisdictions. The user agrees to comply with all such laws and regulations and will not, without prior authorization from YeagerAI and the appropriate government authorities, export, re-export, or transfer any part of the products or services, directly or indirectly, to any prohibited countries, individuals, or entities.

By using our products and services, the user represents and warrants that they are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or any individual or entity on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List.

In this section, we will address any restrictions on the use or distribution of YeagerAI's products or services to certain countries or individuals. The user acknowledges and agrees that the products and services provided by YeagerAI are subject to the export control laws and regulations of the United States and other applicable jurisdictions. The user agrees to comply with all such laws and regulations and will not, without prior authorization from YeagerAI and the appropriate government authorities, export, re-export, or transfer any part of the products or services, directly or indirectly, to any prohibited countries, individuals, or entities.

Third-Party Beneficiaries

The parties expressly acknowledge and agree that the provisions of these Terms are for the sole benefit of YeagerAI and the user, and no other person or entity shall have any rights or remedies under or by reason of these Terms. Nothing in these Terms is intended to confer any rights or remedies on any person or entity other than the parties hereto.

No Class Actions

You agree that, to the extent permitted by applicable law, any disputes or claims arising out of or relating to these Terms or your use of our products or services shall be brought on an individual basis and not as part of any class, collective, or representative action. You further agree that you will not participate in any class action, whether as a class representative or class member, or serve as a private attorney general in any capacity, against YeagerAI or its affiliates, officers, directors, employees, agents, licensors, or service providers. If any court or arbitrator determines that this No Class Actions provision is unenforceable, then the entirety of the Dispute Resolution section shall be null and void.

Disclaimer of Warranties

YeagerAI's products and services are provided "as is" and "as available," without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. YeagerAI does not warrant that its products or services will be error-free, uninterrupted, secure, or meet your requirements or expectations. You use our products and services at your own risk and assume all responsibility for any consequences that may arise from your use.

Limitation of Liability

To the maximum extent permitted by law, in no event will YeagerAI, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our products or services, even if YeagerAI has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless YeagerAI LLC, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or related to your use of our products or services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. In such cases, the remaining provisions will be enforced to the fullest extent permitted by applicable law.

No Waiver

No waiver of any provision of these Terms by YeagerAI shall be deemed a further or continuing waiver of such provision or any other provision, and YeagerAI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (except for any payment obligations) to the extent that such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. In the event of any such delay, the time for performance shall be extended for a period equal to the time lost by reason of the delay.

Termination

YeagerAI reserves the right to terminate or suspend your access to our products or services at any time, with or without cause or notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our products or services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination, shall survive termination, including but not limited to intellectual property, disclaimers, limitations of liability, and indemnification.

Dispute Resolution

If any dispute arises between you and YeagerAI related to these Terms or your use of our products or services, both parties will attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration organization. The decision of the arbitrator will be final and binding on both parties.

Age Restrictions

You must be at least 13 years of age to use our products or services. If you are between 13 and 18 years of age, you must have your parent or legal guardian's permission to use our products or services. By using our products or services, you represent and warrant that you are at least 13 years old and have obtained any necessary parental or guardian consent. If you are under 13 years of age, you may not use our products or services.

Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws, regulations, and rules in connection with your use of our products or services. You are responsible for ensuring that your use of our products or services does not violate any laws, including but not limited to copyright, trademark, privacy, or other proprietary rights.

Governing Law and Jurisdiction

Respect the intellectual property rights of others when creating, sharing, or using AI expert teams or components.
Seek permission from the relevant rights holders when using copyrighted material or other proprietary content.

You agree not to use the AI expert teams or components to:

Generate or disseminate any content that is unlawful, harmful, abusive, offensive, or otherwise objectionable.
Engage in any activities that may result in harm to individuals or entities, or encourage others to engage in such activities.
Manipulate, interfere with, or exploit any aspect of the AI expert teams or components for illegal or unauthorized purposes.

Export Control

In this section, we will address any restrictions on the use or distribution of YeagerAI's products or services to certain countries or individuals. The user acknowledges and agrees that the products and services provided by YeagerAI are subject to the export control laws and regulations of the United States and other applicable jurisdictions. The user agrees to comply with all such laws and regulations and will not, without prior authorization from YeagerAI and the appropriate government authorities, export, re-export, or transfer any part of the products or services, directly or indirectly, to any prohibited countries, individuals, or entities.

By using our products and services, the user represents and warrants that they are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or any individual or entity on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List.

Third-Party Beneficiaries

This section clarifies whether any third parties have any rights under these Terms. Except as expressly provided in these Terms, there are no third-party beneficiaries to the Terms. The parties expressly acknowledge and agree that the provisions of these Terms are for the sole benefit of YeagerAI and the user, and no other person or entity shall have any rights or remedies under or by reason of these Terms. Nothing in these Terms is intended to confer any rights or remedies on any person or entity other than the parties hereto.

No Class Actions

You agree that, to the extent permitted by applicable law, any disputes or claims arising out of or relating to these Terms or your use of our products or services shall be brought on an individual basis and not as part of any class, collective, or representative action. You further agree that you will not participate in any class action, whether as a class representative or class member, or serve as a private attorney general in any capacity, against YeagerAI or its affiliates, officers, directors, employees, agents, licensors, or service providers. If any court or arbitrator determines that this No Class Actions provision is unenforceable, then the entirety of the Dispute Resolution section shall be null and void.

Disclaimer of Warranties

YeagerAI's products and services are provided "as is" and "as available," without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. YeagerAI does not warrant that its products or services will be error-free, uninterrupted, secure, or meet your requirements or expectations. You use our products and services at your own risk and assume all responsibility for any consequences that may arise from your use.

Limitation of Liability

To the maximum extent permitted by law, in no event will YeagerAI, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our products or services, even if YeagerAI has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless YeagerAI LLC, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or related to your use of our products or services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. In such cases, the remaining provisions will be enforced to the fullest extent permitted by applicable law.

No Waiver

No waiver of any provision of these Terms by YeagerAI shall be deemed a further or continuing waiver of such provision or any other provision, and YeagerAI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (except for any payment obligations) to the extent that such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. In the event of any such delay, the time for performance shall be extended for a period equal to the time lost by reason of the delay.

Termination

YeagerAI reserves the right to terminate or suspend your access to our products or services at any time, with or without cause or notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our products or services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination, shall survive termination, including but not limited to intellectual property, disclaimers, limitations of liability, and indemnification.

Dispute Resolution

If any dispute arises between you and YeagerAI related to these Terms or your use of our products or services, both parties will attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration organization. The decision of the arbitrator will be final and binding on both parties.

Age Restrictions

You must be at least 13 years of age to use our products or services. If you are between 13 and 18 years of age, you must have your parent or legal guardian's permission to use our products or services. By using our products or services, you represent and warrant that you are at least 13 years old and have obtained any necessary parental or guardian consent. If you are under 13 years of age, you may not use our products or services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding between you and YeagerAI related to these Terms or your use of our products or services shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Delaware, United States, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
